By accessing or using any product, service, website, mobile application, or chat interface operated by DotsCompany LLC d/b/a Dotshub ("Dotshub," "Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use our Services.
These Terms constitute a binding legal agreement. If you are accessing the Services on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms.
We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
Dotshub operates an online contractor referral marketplace that connects homeowners and commercial property owners ("Clients") with independent licensed contractors ("Contractors") in the State of Arizona. Our Services include:
Dotshub provides a technology platform and matching service only. We do not employ Contractors, supervise their work, set their prices, or participate in any construction, renovation, or repair activity.
Critical Distinction: Dotshub is a referral marketplace, NOT a licensed contractor. All work is performed exclusively by independent, licensed Contractors.
The referral model operates as follows:
Dotshub is not a party to any agreement between a Client and a Contractor. Dotshub does not guarantee project quality, pricing, licensing status, insurance coverage, or any aspect of Contractor performance.
The Dotshub matching service is entirely free for homeowners and commercial clients. You will never be charged by Dotshub at any point in the referral process.
You agree to provide accurate, complete, and current information when submitting a project request. False or misleading information may result in removal from the platform.
Dotshub does not guarantee that a qualified Contractor will be available for your project type, location, or timeline. We will make reasonable efforts to identify available Contractors.
All Contractors are independent businesses. You are responsible for independently verifying any Contractor's licensing, insurance, qualifications, pricing, and suitability for your project before engaging them. Arizona ROC licenses may be verified at azroc.gov.
You pay the Contractor directly for all work performed. Do not make any payment to Dotshub for construction services.
To join the Dotshub network, a Contractor must:
Contractors may accept or decline individual leads at their discretion. Consistent non-responsiveness may result in reduced lead routing or removal from the network.
Contractors represent and warrant that all work performed will be done in a professional, workmanlike manner, in compliance with applicable codes, laws, and regulations, and with all required permits obtained where necessary.
Contractors agree not to misrepresent their licensing status, trade qualifications, insurance coverage, service area, or capacity to Dotshub or to Clients.
Dotshub offers the following membership tiers. All fees are subject to the executed Contractor Agreement:

Referral fees are calculated as a percentage of the total project value as reported by the Contractor upon completion. Dotshub reserves the right to audit project values using Client verification.
Referral fees are due and payable within seven (7) calendar days of the date a project is reported as completed ("Due Date"). Payment methods accepted include ACH transfer, check, or such other methods as Dotshub may specify.
Referral fees not received by the Due Date will accrue interest at a rate of 1.5% per month (18% per annum) on the outstanding balance, computed from the Due Date until the date of full payment.
Contractors must notify Dotshub of project completion within 48 hours using the designated reporting method. Failure to report may result in Dotshub invoicing based on estimated project value.
Dotshub reserves the right to pursue collection of unpaid referral fees, including through legal action. In any successful collection action, the Contractor shall also be liable for Dotshub's reasonable attorneys' fees and court costs.

You agree not to use the Services to:
Violation of these prohibitions may result in immediate suspension, termination of your account, and legal action.
All content, trademarks, trade names, logos, service marks, software, databases, and other materials on the Dotshub platform ("Dotshub IP") are owned by or licensed to DotsCompany LLC. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purpose.
You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, or exploit any Dotshub IP without prior written consent.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Dotshub does not warrant that: (i) the Services will be uninterrupted, error-free, or secure; (ii) any Contractor will be available, licensed, insured, or qualified; (iii) any project will be completed to any particular standard; or (iv) any information provided by a Contractor is accurate or reliable.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOTSHUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
Liability Cap: Dotshub's total aggregate liability to any Contractor arising from or related to these Terms or the Services shall not exceed the lesser of: (a) $100.00 (one hundred U.S. dollars), or (b) the total referral fee amount paid by that Contractor to Dotshub in the three (3) calendar months preceding the claim.
Dotshub's total aggregate liability to any Client (homeowner or commercial) shall not exceed $100.00, as Dotshub provides its services to Clients at no charge.
These limitations apply regardless of the form of action (contract, tort, strict liability, or otherwise) and regardless of whether Dotshub was advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless DotsCompany LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Dotshub reserves the right to assume control of the defense of any matter subject to indemnification, at your expense.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any Contractor Agreement (each, a "Dispute") shall be resolved exclusively by binding arbitration, rather than in court. You waive your right to a jury trial or to participate in a class action.
Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Pima County, Arizona. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Nothing in this Section prevents either party from seeking emergency injunctive or other equitable relief from a court to prevent irreparable harm pending arbitration. Small claims court actions for amounts within its jurisdictional limit are also exempt.
To the fullest extent permitted by law, you agree that all claims must be brought in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action.
Before initiating arbitration, both parties agree to attempt in good faith to resolve any Dispute informally by contacting dotshubllc@gmail.com with a written description of the Dispute. If not resolved within 30 days, either party may proceed to arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. To the extent any action is not subject to arbitration, the parties consent to exclusive jurisdiction in the state and federal courts located in Pima County, Arizona.
The initial term for Contractor membership begins on the date of execution of the Contractor Agreement and continues for one (1) year ("Initial Term").
Upon expiration of the Initial Term, the agreement shall automatically renew for successive one (1) year periods ("Renewal Terms"), unless either party provides written notice of non-renewal at least 30 days prior to the end of the then-current term.
Either party may terminate the Contractor Agreement for any reason or no reason by providing seven (7) days' written notice to the other party. Notice must be sent to Dotshub at dotshubllc@gmail.com.
Dotshub may terminate a Contractor's membership immediately, without notice, for material breach including but not limited to: fraudulent conduct, license revocation, failure to pay referral fees, or conduct that causes harm to Clients or to Dotshub's reputation.
Referral fees for projects completed prior to termination remain due and payable under the Net 7 terms. Sections 10–15 and 16.5 of these Terms survive termination.
Dotshub reserves the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website and, where practicable, by email notification to registered Contractors. Your continued use of the Services after the effective date of any modification constitutes acceptance of the revised Terms.
For active Contractor Agreements, modifications to referral fee percentages or payment terms require at least 30 days' prior written notice.
